Infedis Infotech LLP and its Affiliates – Terms and Conditions

These Terms and Conditions (“Terms”) govern the access and use of the services, platform, applications, and any other tools provided by Infedis Infotech LLP and its affiliates (collectively, “Infedis,” “Company,” “we,” “us,” or “our”) by any individual, entity, or organisation (“User,” “you,” or “your”).

By accessing, installing, registering, or otherwise using the Infedis mobile application, website, software-as-a-service (SaaS) tools, or any affiliated services (collectively, the “Platform”), you agree to be bound by these Terms, as well as our Privacy Policy and any other policy referenced herein, all of which form a legally binding agreement.

If you do not agree to these Terms, please refrain from accessing or using our Platform.

Acceptance of Terms

By accessing the Platform, you represent and warrant that:

  You are at least 18 years of age of majority in your jurisdiction.

  You are competent to enter into a legally binding agreement as per the Indian Contract Act, 1872.

  You are using the Platform in compliance with all applicable laws and regulations in India — including under the Digital Personal Data Protection Act, 2023 (DPDP Act) and DPDP Rules, 2025.

 If you are acting on behalf of an entity, you are authorised to bind that entity to these Terms.

Modifications to Terms

We reserve the right to update, modify or revise these Terms at any time at our sole discretion. Any such modifications will be effective immediately upon being posted on the Platform, with the “Last Updated” date indicating the revision. Continued usage of the Platform after changes constitutes your acceptance.

Scope of Services

Infedis provides, but is not limited to, the following services:

 Cloud-based enterprise solutions.

  Artificial Intelligence (AI) and Machine Learning (ML) analytics.

  Software development tools and APIs.

 Data visualisation and workflow automation.

  Mobile and web application access.

 Business process optimisation.

We reserve the right to add, remove, suspend, or revise any features without prior notice.

Account Registration and Responsibilities

  Users may be required to create an account by providing personal and/or organisational information.

  You agree to maintain updated and accurate account information.

  You shall be responsible for safeguarding your credentials and for all activities under your account.

  Sharing or selling your account access is prohibited.

  Infedis reserves the right to suspend or terminate accounts that violate these Terms or provide false information.

Data Protection, Privacy & Compliance

Your use of the Platform is governed by our Privacy Policy (below) and by the applicable legal framework - including the DPDP Act and the DPDP Rules, 2025.
We collect, store, process and share data:

  Based on your explicit consent (where required) or as mandated by applicable law.

  Only for specified lawful purposes such as service delivery, analytics, support, compliance, and other legitimate purposes.

  With appropriate data security safeguards as detailed in our Privacy Policy.

You acknowledge that as a user you have certain rights under DPDP (as “Data Principal”), including but not limited to access, correction, erasure, data portability, and grievance redressal.

Intellectual Property

All content including source code, software, interfaces, graphics, design, logos, and trademarks are:

  The property of Infedis Infotech LLP or licensed to us.

  Protected under the Indian Copyright Act, 1957; the Trademarks Act, 1999; and other applicable IP laws.

Users shall not:

  Copy, distribute, or commercially exploit content without written permission.

  Attempt to reverse engineer, modify, or tamper with source code or proprietary software.

Confidentiality

"Confidential Information" includes any non-public data, source code, business plans, and proprietary information shared or accessible during use of the Platform.

Users agree to:

  Maintain confidentiality for a period of five (5) years (or longer if required by applicable law).

  Use Confidential Information only for purposes permitted under these Terms.

 Notify Infedis immediately of any unauthorised access or disclosure.

Acceptable Use Policy

You agree not to use the Platform to:

  Violate laws (e.g., IT Act 2000, BNS, DPDP Act and DPDP Rules).

  Transmit malware, spam or any malicious code.

 Hack, phish or impersonate others.

 Engage in obscene, hateful, defamatory, threatening, or illegal conduct.

 Collect data from minors or vulnerable individuals without verifiable consent.

 Circumvent security protocols or access unauthorised data.

User Content

“User Content” includes data, files, feedback, posts, code, or messages submitted or uploaded by you.

 You retain ownership of your content.

 You grant Infedis a perpetual, worldwide, royalty-free licence to use and process such content for service delivery and operational improvement.

 You warrant that you have the right to submit such content and that it does not infringe third-party rights.

Feedback and Improvements

If you provide suggestions or ideas, you :

 Authorise Infedis to use them freely without compensation.

 Waive any IP or moral rights in such content.

Third-Party Integrations

We may offer integrations with third-party APIs, services, or platforms.

  Infedis does not guarantee accuracy, availability or security of third-party services.

  Use of such services is subject to their respective terms.

Limitation of Liability

To the extent permissible under Indian law:

 Infedis is not liable for indirect, incidental, special or consequential damages.

 Liability, if any, is limited to the subscription or service fee paid by the user in the preceding three (3) months.

 No liability is assumed for user-generated content or third-party actions.

Indemnity

You agree to indemnify, defend and hold harmless Infedis Infotech LLP, its directors, officers, employees, agents, subsidiaries, affiliates, licensors, contractors, partners, successors and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) arising out of or in connection with:

 Your access to or use of the Platform

 Your violation or alleged violation of these Terms or any applicable laws (including DPDP Act/Rules), regulations or third-party rights (including intellectual property, privacy, or data protection rights).

 Any content submitted, posted, transmitted, or otherwise made available by you via the Platform.

 Any fraud, misrepresentation, negligence or wilful misconduct by you or any person using your account.

 Any breach of your representations, warranties, or obligations under these Terms.

Infedis reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to fully cooperate with Infedis in such defence. You shall not settle or compromise any claim without Infedis’s prior written consent.

Termination and Suspension

Infedis may suspend or terminate your access:

 For violation of Terms.

 As required by law or regulatory bodies.

 Upon discontinuation of service.

Upon termination, all licenses granted shall immediately cease.

Cancellation and Refunds

 Subscription services are non-refundable once activated.

 Users may cancel auto-renewals in the Platform settings.

 Payment is accepted via approved Indian payment methods including UPI, net banking, cards, and wallets.

Grievance Redressal & Data-Requests

In accordance with the DPDP Act and DPDP Rules, you may file any grievance or datarelated request (such as access, correction, erasure, withdrawal of consent, nomination) to the following Grievance Officer:

We commit to acknowledging your request within 24 hours and resolving or closing it within 90 days of receipt. This timeline is publicly declared in accordance with DPDP Rules 2025.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Exclusive jurisdiction lies with the competent courts in Pune, Maharashtra.

Dispute Resolution

We prefer to resolve disputes amicably. If not resolved informally, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996. Venue of arbitration: Pune, Maharashtra; Language: English.

Miscellaneous

Entire Agreement : These Terms, along with the Privacy Policy and any referenced policies, constitute the entire agreement between you and Infedis.

Amendments : Any changes or modifications shall be posted on the Platform and will be deemed accepted upon continued use.

Severability : If any provision is found to be invalid or unenforceable, the remainder shall continue in full force.

Waiver : Any failure by Infedis to enforce a provision is not a waiver of its right to do so later.

Force Majeure : Infedis shall not be held liable for failure to perform due to events beyond reasonable control, including but not limited to acts of God, natural disasters, war, strikes, pandemics, or government restrictions.

Assignment : You may not assign your rights or obligations under these Terms without prior written consent. Infedis may assign its rights and obligations without restriction.

Relationship : No agency, partnership, joint venture, or employment relationship is created as a result of these Terms.

Survival : All provisions which by their nature should survive termination shall survive, including but not limited to confidentiality, limitation of liability, indemnification, and dispute resolution.

Notices : Any notices must be sent via registered email to vanshikapradhan@hidoc.co or by courier to the official company address.

Third-Party Rights : No third party shall have any rights to enforce any term of these Terms.

Data-Privacy Compliance Notice

We adhere to the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025. We process personal data only with valid consent or other lawful grounds, limit collection to stated purposes, and retain data only as required. We do not collect Aadhaar, PAN, or other identifiers restricted under DPDP Rules, except where legally permitted and strictly necessary. We maintain appropriate technical, organisational, and contractual safeguards - including binding obligations for all data processors. You may exercise your data rights at any time. Any data breach will be handled and reported in accordance with the timelines prescribed by the DPDP Rules, 2025.
